TERMS AND CONDITIONS
These terms and conditions (the "Terms and Conditions") govern the use of homegrown.food and the Homegrown mobile apps (together, the "Site"). The Site is owned and operated by Homegrown Technologies, Inc. ("Homegrown", "we", "us"). The Site is an online marketplace that connects people who want to buy local food with the independent producers, farms, food hubs and other businesses that sell it (each a "Vendor").
By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.
Our Role
Homegrown is an intermediary. We provide the platform on which Vendors list their goods and buyers order them, and we handle order management and payment processing on the Vendor's behalf. We do not grow, produce, own, inspect, store or take title to anything sold on the Site.
When you place an order, the Vendor is the seller. Every purchase made through the Site is a contract of sale between you and the Vendor named on the order, not between you and Homegrown. The Vendor is responsible for the goods, including their description, quality, safety, labelling, pricing, availability and fulfilment, and for complying with the laws that apply to selling them.
Homegrown is not a party to that sale. Where these Terms and Conditions describe what happens with orders, payments, cancellations and refunds, they describe how the Site operates on the Vendor's behalf; the Vendor remains the party responsible to you for the goods.
Vendors' Own Terms
A Vendor may set terms of its own, which are shown to you at checkout and which you must accept before ordering from that Vendor. Those terms govern your purchase from that Vendor together with these Terms and Conditions. If a Vendor's terms conflict with these Terms and Conditions on a matter between you and the Vendor, such as its cancellation, refund or uncollected-order policy, the Vendor's terms apply. Nothing in a Vendor's terms can make Homegrown a party to the sale or expand Homegrown's responsibility under these Terms and Conditions.
Intellectual Property
All content published and made available on our Site is the property of Homegrown Technologies, Inc. and the Site's creators, except for content posted by Vendors and other users, which remains theirs. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

1.
Harass or mistreat other users of our Site;
2.
Violate the rights of other users of our Site;
3.
Violate the intellectual property rights of the Site owners or any third party to the Site;
4.

5.
Act in any way that could be considered fraudulent;
6.

7.
List alcohol or cannabis products, or any products which are illegal to sell in your region.
If we believe you are using our Site illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Site. We also reserve the right to take any legal steps necessary to prevent you from accessing our Site.

By posting publicly on our Site, you agree not to act illegally or violate these Terms and Conditions. You are responsible for what you post, and you grant Homegrown a licence to display it on the Site and in the Site's promotion.
Accounts
You may browse and place one-off orders without creating an account. An account is required for subscriptions and messaging. When you create an account on our Site, you agree to the following:
1.
You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account; and
2.
All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.
We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms and Conditions.
Orders
Placing an order through the Site is an offer to buy from the Vendor. The Vendor may accept or decline it. Your order is confirmed, and you are charged, only when the Vendor accepts it. If the Vendor does not accept your order by the deadline shown on it, the order expires and you are not charged. You may cancel an order at any time before the Vendor has accepted it.
Once accepted, an order may be cancelled by the Vendor, for example when goods become unavailable. If the Vendor cancels an order you have paid for, the amount you paid for the cancelled goods is refunded to your original payment method. Whether an order can be cancelled at your request after acceptance is up to the Vendor and its own terms.
Vendors set their own prices. Some goods are priced by weight; for those, a deposit based on the expected weight is charged when your order is accepted, and once the Vendor records the actual weight the difference is charged to, or refunded to, your payment method. Product information on the Site is provided by Vendors. Homegrown does not verify it and is not bound by it.
Payments
Card payments on the Site are processed by Square. Homegrown collects payment from you as the Vendor's limited payment collection agent: a payment you make to Homegrown through the Site counts as payment to the Vendor, and once it is made your payment obligation to the Vendor for that order is satisfied. Homegrown then pays the Vendor, less the fees the Vendor has agreed to.
When you provide us with your payment information, you authorize our use of and access to the payment instrument you have chosen to use, and you authorize us to charge that instrument the amount due on each order the Vendor accepts, including any weight-based settlement described above and, where you have opted in at checkout, the platform fee you chose to cover.
A Vendor may also offer to accept payment directly, for example in person at pickup. Such payments are made to the Vendor, not to Homegrown, and are governed by the Vendor's terms. Homegrown does not process them and is not responsible for them.
If we believe a payment violates any law or these Terms and Conditions, we reserve the right to cancel or reverse the transaction.
Subscriptions
Some Vendors offer subscriptions: a fixed number of pickups over a season on a set cadence, such as a weekly box. A subscription is paid in full when you order it, and your first order is the first pickup. Subsequent pickups are scheduled automatically until the number of pickups you purchased has been used. Subscriptions do not renew automatically; you are not charged again unless you purchase another one.
Whether a subscription can be cancelled part-way through a season, and what is refunded for pickups not yet collected, is set by the Vendor's terms. Refunds that are issued go to your original payment method.
Pickup
Goods purchased on the Site are collected in person. At checkout you choose a pickup location and pickup window offered by the Vendor; these are shown on your order. Homegrown does not ship or deliver goods. Pickup locations may be run by the Vendor or by a third-party food hub, market or other host that the Vendor uses.
It is your responsibility to collect your order at the chosen location during the chosen window. What happens to an order that is not collected, including whether it is held or refunded, is set by the Vendor's terms.
Selling on Homegrown
Vendors may list and sell goods on the Site. As a Vendor you agree that:
1.
You are the seller of the goods you list, and the contract of sale for every order is between you and the buyer;
2.
You are responsible for your listings being accurate, for the quality and safety of your goods, and for holding any licences, permits, inspections or certifications the law requires to sell them;
3.
You are responsible for fulfilling accepted orders at the pickup location and window on the order, and for honouring the terms you have set;
4.
You are responsible for determining, collecting and remitting any taxes that apply to your sales;
5.
Homegrown deducts its platform fee, and any fee charged by a hub whose pickup location you use, from the amount collected on your behalf before paying you out, at the rates shown to you on the Site; and
6.
Homegrown may suspend or remove your listings or your ability to sell if we believe you are violating these Terms and Conditions or the law.
Disclaimer
Because Homegrown is not the seller, we cannot guarantee the quality, safety, legality or accuracy of goods listed on the Site, or that any Vendor will fulfil an order. The Site is provided as is, and we do not guarantee that it will be available without interruption or error. Claims about goods you have purchased, including refund requests after an order has been accepted, should be raised with the Vendor. We may, at our discretion, help you and a Vendor resolve a dispute, but we are not obliged to, and doing so does not make us a party to the sale.
Consumer Protection Law
Where the Business Practices and Consumer Protection Act, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Our Site contains links to third party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third party website or service linked to on our Site. It is your responsibility to read the terms and conditions and privacy policies of these third party websites before using these sites.
Limitation of Liability
Except where prohibited by law, Homegrown Technologies, Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees arising from your use of the Site, from any goods bought or sold through the Site, or from the acts or omissions of any Vendor, buyer, pickup host or other user.
Indemnity
Except where prohibited by law, by using this Site you indemnify and hold harmless Homegrown Technologies, Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site, goods you sell through our Site, or your violation of these Terms and Conditions.
Applicable Law
These Terms and Conditions are governed by the laws of the Province of British Columbia and the laws of Canada that apply there.
Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.
Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms and Conditions or post a notice on our Site.
